PRAI Board Meeting Minutes 04-23-2012
Board members Bill Paschall, Toby Newlin, Megan Klein and Karl Hancock were present. Property owners Sue Bennett, Ken Klein, Fran Raymond, Robin Newlin and Helen Norris were also present.

Secretary Megan Klein read the previous meeting’s minutes. Toby Newlin made a motion to approve the minutes; Karl Hancock seconded. The minutes were approved.

Bill Paschall announced that Monica Hooge resigned her position as Treasurer on March 3, 2012 and Toby Newlin agreed to take over the Treasurer’s duties until the Annual Meeting. All files have been transferred to Toby and documents and signature cards have been updated at BBVA Compass Bank.

The treasurer’s report was reviewed.

Invoices for legal fees for the Hellrung vs. Paleface Ranch Association and William Paschall lawsuit have been received. On 3/13/2012 the Association received an invoice for $263.00 and on 4/12/2012 an invoice for $814.50. The fees have been paid and will be submitted to the insurance company for reimbursement.

On 3/20/2012 $15,000 was moved into the Boat Ramp Area Improvement account and $50,000 was moved from the checking account to the money market account.

Mario Cruz Landscaping has been paid for their work at the front entrance.

The Association’s 2011 Taxes have been paid.

Three property owners have not paid their Association dues and will incur late fees at the end of the month. They have been notified.

Fifteen more gate remotes have been ordered.

Property tax appraisals for Association property have been received; the appraisal on the boat ramp property is still pending. All other property appraisals have come in lower than last year.

We have received one new construction deposit; there are currently four houses under construction in the subdivision.

Bill moved to approve the Treasurer’s report, Karl seconded. The Treasurer’s report was approved.

Old Business
CCR & Bylaws Changes
Bill has received the changes from the attorney.

Tres Coronas Road Repair
The Tres Coronas chip seal will be redone by Ramming Paving when the weather becomes warm enough overnight. The balding area on Oscar was fixed when Tres Coronas was done. The repair failed and it is on the list to be redone when the weather warms. Ramming has been bought by another company.

Presley Lien
The Presley lien has been filed with Travis County.

Entry Mowing
Mario Cruz Landscaping mowed, weeded and trimmed the front entrance at the end of March for $350.00 They will return as needed/requested to mow for $75.00.

Weed Kill
RoundUp has been sprayed on the edges of the roadsides to kill the weeds and prevent road maintenance issues.

Boat Ramp Area Cleanup
The boat ramp has been cleared of overhanging/encroaching vines. The property below the parking lot has been mowed and the peninsula has been cleaned up.

Property Sales
Four properties have sold and three are pending.

New Business
Crack Fill Quote
Bill will contact Ramming Paving to request a quote for crack filling the subdivision roads.

Board to Ratify Previous Meetings
The Board has been made aware of accusations that proper notice was not given for the Board Meetings conducted on October 17, 2011 and December 5, 2011. Although the Board disputes such accusations, to resolve any further dispute concerning the matter, the Board will ratify, approve and re-affirm each and every action approved by the Board of Directors at all meetings conducted since the Annual Meeting of Members in 2008, as reflected in the respective minutes for each such meeting.

Party at the Boat Ramp
The debris pile resulting from the boat ramp area cleanup needs to be burned. Megan will schedule a date and check to be sure Jim Hinton is available with his tractor. Bill and Karl will arrange to have a source for water at the burn site. Megan will check in with the fire department. And we’ll plan a neighborhood party around it. Megan will post to the website when the details are known.

Website
Megan has created a new website on WordPress and transferred all files from the old website to the new one. We will keep the same domain name and the site should go live within the next two weeks. At that time, all DotEasy hosting and services can be cancelled.

Old PRAI Records Online
There are four boxes and a filing cabinet of old PRAI documents floating around. Megan and Toby would like to create electronic copies of all interesting/necessary documents and get rid of the paper. We have many documents stored on an Amazon Cloud drive. Toby raised a question about the safety/privacy of putting some documents (anything containing bank account numbers primarily) on the cloud drive. Bill will check with the attorneys for guidance.

Hellrung vs. Paleface Ranch Association
Upon the advice of the Association’s legal counsel, we cannot not discuss the substance or merits of the lawsuit recently filed by Michael and Donna Hellrung against the Association at this time. The Association disputes all claims asserted by the Hellrungs and will respond to the claims asserted in such lawsuit through its legal counsel at the proper time and in the appropriate manner. If you have concerns or would like additional information about the Hellrung lawsuit, copies of the petition filed by the Hellrungs and he response filed by the Association are posted on the Association’s website at www.palefaceranch.org.  CNA, one of the Association’s insurance carriers, is covering the suit. A second insurance company is still reviewing the case.

The next meeting will be at Megan Klein’s house, at 23802 Oscar Road, on June 11, 2012.
