PRAI Board Meeting Minutes 02-20-2012
Board members Bill Paschall, Toby Newlin, Monica Hooge, Megan Klein and Karl Hancock were present. Property owners Sue Bennett, Fran Raymond, Robin Newlin and were also present.

Secretary Megan Klein read the previous meeting’s minutes. Toby Newlin made a motion to approve the minutes; Karl Hancock seconded. The minutes were approved.

The treasurer’s report was reviewed.

The Association is a little over on income for 2011. We’ve sold a lot of gate remotes and received more than expected in ACC fees. The Association spent more than budgeted on gate repair and insurance and less on road maintenance in 2011.

The Association has received $42,500 in dues. Five property owners are taking advantage of the payment plan. Nine owners have not paid dues.

Old Business
Entrance Light
Megan contacted Pedernales Electric and the light on the west side of the entry has been fixed.

Ramming Paving
Bill met with Ramming Paving to review the chip seal on Tres Coronas. They agreed the job was poorly done and will redo it at no charge.

Masonry Work at Entrance
The repair of the masonry on the gate pillars, planters and the mailbox cover has been completed. The contractor has been paid.

Gate Keypad Repair
On January 5, 2012 the gate keypad gooseneck was hit, apparently by a cement truck, and knocked to the ground. Access Controls, the gate repair company, was called to reattach the gooseneck to the cement pad. The builder whose contractor was reportedly responsible for the damage agreed to pay for the repair.

PRAI Dues 2012
Invoices for dues were sent to owners by email on December 21, 2012. Those for whom the Association does not have email addresses had their invoices mailed via USPS. Both mailings included the dues invoice, gate codes for the 2012 year, a property owners directory and a link to the Annual Meeting Minutes online. On January 24, 2012 reminders were sent by mail to those who had not responded with payment.

CCR & Bylaws Changes
On December 7, 2011 the Board unanimously approved Engagement Document with Savrick & Shumann to utilize Gregory Caigle, attorney, for aligning PRAI documentation, procedures, processes, and records with new Rules and Regulations for Home Owners Associations in Texas – Bill will submit to the attorneys.

One major change is a requirement to offer a payment plan for Association dues which was done beginning with January 2012. We will also be including a summary of any decisions made between board meetings in all future minutes in an effort to ensure transparency. Other changes concern board procedures and policies.

As of this meeting, we do not yet have a bill from Savrick Schumann Johnson McGarr Kaminski & Shirley, LLP for the review of our CCR and Bylaws. It should come in around $1100.00. Bill should have the documents by the next board meeting.

Presley Lien
All information needed to file the lien against Presley has been given to attorney Gregory Caigle. He will send a demand letter.

New Business
Tres Coronas Road Repair
Ramming Paving will return to the subdivision within the week to sweep the loose rock from Tres Coronas. As soon as the days and nights warm to the ideal temperature, the chip seal on Tres Coronas will be redone or repaired as necessary.

Gate Keypad Repair Bill
Monica brought conflicting information to the meeting that threw into question who was actually responsible for the damage to the keypad gooseneck. Not wanting to bill the wrong contractor, Karl made a motion that the Association pay the repair costs. Bill seconded; motion approved.

Lawsuit
A property owner brought a libel and defamation of character lawsuit against Paleface Ranch Association Incorporated and the members of the 2008-2009 HOA Board individually, in 2010. Defense of the Association and the Board members was covered by the Association’s General Liability and Directors and Officers insurance policies. The Board was advised by legal representation to not make the lawsuit public. In January 2012 the lawsuit was formally dropped. Elements of the lawsuit can never again be brought against the subdivision. The cause number was C-1-CV-10-008680.

The next meeting will be at Megan Klein’s house, at 23802 Oscar Road, on April 23rd.
